1. Services
RiseForge Consulting provides performance marketing, Meta/Google ads support, ecommerce growth, websites, landing pages, training, resources, recruitment support, and related digital services. Exact inclusions depend on the agreed package, proposal, invoice, statement of work, or written confirmation.
2. B2B digital marketing terms of service
For business clients, these Terms apply to pre-contract discussions, proposals, audits, pitch decks, strategy documents, website content, marketing recommendations, and professional service conversations unless a separate signed agreement states otherwise. 3. No guarantees clause
RiseForge provides strategy, execution, optimisation, reporting, and professional recommendations. However, marketing and ecommerce outcomes depend on many factors outside RiseForge's control, including ad budget, offer strength, product-market fit, pricing, landing page quality, sales follow-up, market demand, competition, seasonality, platform policies, algorithm changes, tracking limitations, and client approvals. RiseForge does not guarantee specific revenue, profit, ROAS, ROI, sales volume, enquiry volume, lead quality, conversion rate, website traffic, search ranking, ad approval, account approval, marketplace ranking, or any other fixed commercial result.
4. Client responsibilities
- Provide accurate business, offer, product, pricing, legal, and contact information.
- Provide required approvals, brand assets, platform access, product information, and feedback on time.
- Ensure products, services, claims, advertising content, customer data, and landing pages comply with applicable laws and platform policies.
- Pay ad spend directly to the relevant platform unless otherwise agreed.
- Respond to leads, enquiries, and customer communications in a timely and professional manner.
5. Intellectual property
Unless otherwise agreed in a signed written contract, all RiseForge pitch materials, proposals, audits, strategy frameworks, case studies, website content, training content, templates, processes, code libraries, creative concepts, ad angles, reports, and know-how remain the intellectual property of RiseForge Consulting. They may not be copied, reused, published, shared with another agency, or used to build competing materials without written permission.
Upon full payment, client-specific final deliverables created specifically for the client may be used by the client for its own business, subject to the agreed scope and any third-party licences. Third-party assets, software, plugins, fonts, stock media, ad platforms, ecommerce platforms, and tools remain subject to their own licence terms.
6. Pitch materials, audits, and pre-contract documents
Free audits, exploratory recommendations, sample strategies, commercial proposals, pitch decks, discovery notes, estimates, and suggested campaign directions are provided for evaluation only. They do not grant ownership, transfer IP, create an exclusive relationship, or authorise implementation by the recipient or a third party unless a formal service contract, paid scope, or written permission states otherwise.
7. Portfolio use
Unless the client requests confidentiality in writing, RiseForge may reference non-sensitive project work, screenshots, service categories, public-facing deliverables, or general outcomes in its portfolio or proposals. Confidential business data, ad account data, private access details, and non-public commercial information will not be intentionally published.
8. Payments, refunds, and cancellations
Pricing, billing cycles, due dates, pauses, cancellations, and refunds are governed by the applicable invoice, proposal, written scope, and the Refund Policy. Unless stated otherwise, platform ad spend, third-party tool fees, marketplace fees, hosting, domains, premium plugins, and paid media costs are separate from RiseForge service fees.
9. Third-party platforms
RiseForge may work with Meta, Google, Shopify, WooCommerce, Amazon, Flipkart, Meesho, Wix, email tools, analytics tools, payment processors, and other third-party platforms. RiseForge is not responsible for platform outages, account restrictions, ad disapprovals, algorithm changes, policy changes, tracking discrepancies, payment processor decisions, or third-party fees.
10. Privacy and cookies
Website and service-related personal information is handled according to the Privacy Policy, Cookie Policy, and applicable data processing terms.
11. Liability limits
To the maximum extent permitted by law, RiseForge is not liable for indirect, incidental, consequential, special, punitive, loss-of-profit, loss-of-revenue, loss-of-data, platform restriction, ad account suspension, ranking loss, reduced reach, search visibility changes, marketplace suspension, rejected ads, customer follow-up failures, or business interruption damages. Where liability cannot be excluded, it is limited to the amount paid for the specific service giving rise to the claim during the three months before the claim arose, unless applicable law requires otherwise.
12. Indemnity
The client agrees to indemnify RiseForge against claims arising from client-provided content, unlawful products/services, misleading claims, data shared without proper rights, platform policy breaches, intellectual property infringement, customer disputes, or instructions that violate applicable law or third-party rights.
13. Governing law and dispute resolution
Unless a separate signed agreement expressly identifies another governing law, these Terms are governed by the laws of India. Courts or competent forums in Chandigarh, India shall have jurisdiction, subject to mandatory rights that may apply under consumer, privacy, or data protection laws in the user's country or region. Any change to governing law or dispute forum must be clearly stated in a signed written agreement.
Before formal action, both parties should first attempt good-faith resolution by written notice. Any commercial dispute should be raised with clear details, supporting documents, and a reasonable opportunity to resolve the issue.
14. Changes
RiseForge may update these Terms from time to time. Continued use of the website or services after updates means you accept the revised Terms.
